Introduction and Acceptance of Terms

askROI.com is operated by askROI, Inc. (“we,” “us,” “our,” or “Company” “askROI”). These terms of service (“Terms”) govern your access to and use of our website, software, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Definitions

“Account” refers to the user’s registered profile and associated information on our platform that provides the Services.
“Company,” “we,” “us,” or “our” “askROI” refers to askROI, Inc., the operator of askroi.com.

Account Registration and Eligibility

User Responsibilities and Prohibited Uses

Account Responsibility: You are responsible for all activity that occurs under your Account. Prohibited Actions: You agree not to:

Use the Services for any illegal purpose or in violation of any applicable laws;
Upload or transmit any Content that infringes upon any third party’s rights;
Interfere with or disrupt the integrity or performance of the Services;
Attempt to gain unauthorized access to the Services or related systems;

Zero-Tolerance Policy: askROI is committed to maintaining a safe and legal environment for all users. We have a zero-tolerance policy for illegal activities on our Services, including but not limited to child exploitation, human trafficking, and other malicious activities.

Intellectual Property Rights

Ownership: askROI owns all rights, title, and interest in and to the Services, including all software, algorithms, designs, and content created by us. You retain ownership of Your Content and the Output. Restrictions: You may not copy, modify, create derivative works of, reverse engineer, decompile, or attempt to extract the source code of the Services or any part thereof, unless expressly permitted by applicable law. Feedback: By providing any feedback, suggestions, or ideas about our Services, you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, create derivative works from, distribute, and display this feedback for any purpose, without compensation to you.

Service Level Agreement

Uptime: askROI will use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week.
Performance: askROI will use commercially reasonable efforts to ensure the Services perform in accordance with industry standards.
Support: askROI will provide technical support to users via email during normal business hours.

Payment Terms and Subscription

Paid Features: Certain features of our Services may require a paid subscription. Prices and payment terms will be provided at the time of purchase.
Payment Obligation: You agree to pay all fees associated with your use of the Services. All payments are non-refundable unless otherwise specified.
Fee Changes and Renewal: We may change our fees upon notice, and your continued use of the Services after such notice constitutes acceptance of the new fees.
Paid Accounts and Billing: You may cancel your Paid Account at any time, but refunds are only issued if required by law.

Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE COMPANY PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND.

Limitation of Liability

You expressly understand and agree that the Company Parties will not be liable for any indirect or incidental damages. In no event will the Company Parties’ total liability to you exceed the amount you have paid the Company in the last six (6) months, or one hundred dollars ($100).

Indemnification

To the extent permitted under applicable law, you agree to defend, indemnify, and hold harmless askROI and the Company Parties from any and all losses arising out of or relating to your use of the Services.

Dispute Resolution and Governing Law

Governing Law: These Terms shall be governed by the laws of the State of Nevada. Dispute Resolution Process: Any dispute shall first be attempted to be resolved through good-faith negotiations. If such negotiations fail, the dispute shall be submitted to binding arbitration. Agreement to Arbitrate: You agree that any disputes will be resolved exclusively through binding arbitration.

Termination

Termination by askROI: askROI may suspend or terminate your access to the Services at any time. Termination by You: You may terminate your account at any time by contacting askROI customer support.

User Disputes

You agree that you are solely responsible for your interactions with any other user connected with the Services.

General

Entire Agreement: These Terms constitute the entire agreement between you and askROI. Jurisdiction: You and askROI submit to the personal jurisdiction of the state and federal courts located within Las Vegas, Nevada.
