What you get
- Text in the chatCopy it wherever you need it. Keep chatting to adjust the tone, length, or wording.
How it works
- Attach the contract as a PDF or Word file, or paste the text, and say which side you are on. Add your deadline, main concerns, and your team's negotiation playbook if you have one.
- askROI's Review and redline a contract tool asks for any of that context you left out, then reviews every material clause in the chat, rates each one green, yellow, or red, and writes redlines with rationale, priority, and a fallback for the yellow and red ones.
- Copy the redlines into your markup, or keep chatting to soften a position, go deeper on one clause, or prepare for the negotiation call.

Questions
- What does the review include?
- A summary of the document, parties, your side, and the review basis; the top issues; a clause by clause analysis covering liability, indemnification, IP, data protection, confidentiality, warranties, term and termination, governing law, insurance, assignment, force majeure, and payment terms; redlines for each yellow and red clause; a negotiation strategy; and next steps.
- What do green, yellow, and red mean?
- Green means the clause meets or beats your standard position. Yellow means it is outside your standard but negotiable, so it comes with a redline and a fallback. Red means it poses material risk or needs escalation, so it comes with the specific risk, the market standard alternative, and who to escalate to.
- What if I do not have a negotiation playbook?
- It tells you no playbook was provided and offers two paths: set one up together by defining your positions for key clauses, or run the review against widely accepted commercial standards, which the report then labels as its basis.
- How is this different from AI NDA Review?
- NDA Review is a fast screen of one confidentiality agreement that routes it to signature, counsel review, or full legal review. This tool reviews any commercial contract clause by clause and writes the redlines and negotiation plan.
- Is this legal advice?
- No. It supports legal work and does not provide legal advice. The review should be checked by qualified legal counsel before you rely on it for a legal decision.
- What does it not do?
- It does not edit your file with tracked changes, sign or send anything, or negotiate for you. The redlines come back as text in the chat for you to place in your own markup.
